Frugal Booking Service Ltd (Company Number: 16496671), with its registered office at Unit 5, The Freehold Industrial Centre, Amberley Way, Hounslow, England, TW4 6BX (Frugal, we, us, our), is the creator and operator of the Frugal App (the App), a rideshare platform designed to connect Riders and Drivers for the provision of transportation services.

The App enables Riders to connect with registered Drivers to request and receive transportation services.

These terms and conditions apply to all Driver accounts on the App. Separate terms apply to Rider accounts, available here: [insert link to Rider T&Cs on your website] (the Rider Terms).

By downloading or using the App, you agree to be bound by these terms. Please read them together with our Privacy Policy, available at [insert link to new privacy policy on your website], before using the App. You should only download or use the App if you have read and agree to these terms.

If you do not agree to these terms, we will not allow you to use the App and you should not download it.

In this agreement:

  • references to the ‘App Store’ means Apple’s App Store and we refer to their rules and policies contained in the Apple Media Services Terms and Conditions as the ‘App Store Rules’.
  • references to ‘Google Play’ means the app distribution platform operated by Google and known as Google Play, and we refer to Google’s terms of service (and other applicable terms) collectively as ‘Google’s Rules’.
  • in clauses where we use the phrase “App Store Rules or Google’s Rules (as applicable)”, we intend for the App Store Rules to apply to all Drivers and Riders who have obtained the App via the Apple App Store, and for Google’s Rules to apply to Drivers and Riders who have obtained the App via the Google Play distribution platform.
  • PROCESS FOR USING THE APP
    • Drivers may list themselves on the App as available to provide transportation services.
    • Riders may submit a request for transportation through the App (Request to Ride) by providing the required journey details, including the pickup and destination locations, any intermediate stops, the scheduled pickup date and time, and the preferred vehicle category. Upon publication of a Request to Ride, the Rider must pay the applicable estimated fare and any booking fee specified in the App.
    • Once a Request to Ride is published, eligible Drivers may submit bids to provide the requested journey (Bid). Bids remain open until the bidding cut-off time displayed in the App.
    • Unless otherwise determined by Frugal, each Bid must be at least £2 lower than the current lowest Bid displayed in the App. A Driver may submit no more than two (2) Bids for the same Request to Ride. Each new Bid submitted by a Driver replaces that Drivers previous Bid.
    • (e) The bidding period for each Request to Ride will close at the bidding cut-off time specified in the App, which will be no less than two (2) hours before the scheduled pickup time. No new Bids or amendments to existing Bids may be submitted after the bidding cut-off.
    • (f) At the close of the bidding period, the Request to Ride will automatically be awarded to the Driver who submitted the lowest valid Bid (the Winning Bid). Where two or more Drivers submit identical lowest Bids, Frugal may determine the successful Driver in accordance with the App’s allocation rules.
    • A Rider may elect through the App to accept the current lowest Bid before the bidding cut-off time. Where a Bid is accepted early, the bidding process will immediately close and no further Bids may be submitted.
    • If the Winning Bid is lower than the estimated fare paid by the Rider when creating the Request to Ride, Frugal will refund the difference between the estimated fare and the Winning Bid to the Rider’s original payment method. Any booking fee payable to Frugal is separate from the fare and will only be refunded where these Terms expressly provide.
    • Requests to Ride must be scheduled with a pickup time that is at least three (3) hours after the time the Request to Ride is published, unless Frugal determines otherwise through the App. This minimum booking period is intended to provide sufficient time for the bidding process to take place before the bidding cut-off.
    • Frugal may reject or remove any Bid, cancel a Request to Ride, suspend participation in the bidding process, or amend the bidding rules, minimum bid increments, bidding limits, or auction procedures where reasonably necessary to maintain the integrity, security, fairness, or operation of the App. Any such changes will be notified to Drivers and Riders through the App or these Terms where applicable.
  • ACCOUNTS
    • In order to use most of the functionality of the App, all Drivers and Riders are required to sign-up, register and receive an account through the App (an ‘Account’).
    • As part of the Account registration process and as part of your continued use of the App, you are required to provide personal information and details, such as your email address, first and last name, preferred username, a secure password, billing, postal and physical addresses, mobile phone number, and other information as determined by Frugal from time to time.
    • You warrant that any information you give to Frugal in the course of completing the Account registration process will always be accurate, honest, correct and up to date.
    • Once you complete the Account registration process, Frugal may, in its absolute discretion, choose to accept you as a registered Driver or Rider within the App and provide you with an Account.
    • Frugal reserves the right to contact you about any concerning behaviour by you, or to seek a resolution with you.
  • AVAILABLE TO DRIVE
    • You acknowledge and agree that you must only list yourself as available to provide driving services when you are available to collect any Rider from any location and drive them to their chosen location, and you otherwise comply with this clause 3 (Available to Drive).
    • As part of registering for an Account as a Driver, you must upload your current drivers’ licence and other documents as required from Frugal from time to time (Licences). Frugal will, without being under any obligation to do so, verify the currency of your Licences.
    • We require all Drivers to be verified by the relevant local council before they are permitted to create or use a Driver Account or provide Services through the Platform. We may request evidence of such verification and may suspend or terminate a Driver Account if the Driver no longer satisfies the applicable local council requirements.
    • To avoid driver fatigue, you acknowledge and agree that you must not list yourself as Available to Drive for extended periods of time. We reserve the right to limit the time in which you are able to list yourself as Available to Drive on the App, for both Rider and Driver safety.
    • At all times while you are Available to Drive, you must not be under the influence of illicit drugs or alcohol or any medication which may impair your ability to safely operate a vehicle.
    • By listing yourself as Available to Drive you represent and warrant that you comply with all of these terms.
    • Frugal may, upon giving reasonable notice to a Driver, require the Driver to provide updated evidence of compliance with clauses 3 and 5. Frugal reserves the right to suspend the Drivers account until such evidence has been provided in writing.
  • ACCEPTANCE OF REQUEST TO RIDE
    • If you are listed as Available to Drive, you will be notified when a Rider submits a Request to Ride.
    • The fees payable to you for the provision of the Services under that Request to Ride shall be shown on the App (Ride Fare).
    • If you are the first Driver to accept the Request to Ride, you acknowledge and agree that you must perform the Services in that Request to Ride and use best endeavours to not cancel the Services.
    • By accepting a Request to Ride, you agree to provide the Services to the Rider in exchange for the Ride Fare indicated for that Request to Ride.
    • If you cancel the Services less than 3 hours before the scheduled pickup time, Frugal may charge a £5 late cancellation fee.
    • Frugal charges the Driver a commission equal to 12.5% of the fare for each completed journey (Commission). The Commission is separate from any booking fee or other fee payable by the Rider to Frugal. The applicable Commission and any Rider booking fee will be displayed on the App before a booking is accepted.
    • Frugal will have no responsibility for the accuracy, reliability or timeliness of the content provided in a Request to Ride.
    • You may cancel the Services using the App, however in some circumstances (for example if you have not provided the Services) you may not be entitled to payment of all or part of the Ride Fare. Riders, being consumers, may be entitled to a refund of the Ride Fare and you hereby agree, and authorise us to refund back, any Ride Fare which the Rider is entitled to at law or under these terms or the Rider Terms.
  • DRIVER REQUIREMENTS
    • By creating an Account and listing yourself as Available to Drive, you represent and warrant that you:
      • are over the age of 18 years old;
      • have an iOS or Android smartphone;
      • can communicate with Riders in English clearly and effectively;
      • consent to any background checks such as, but not limited to, a criminal history and driving history check;
      • have all necessary licenses, permits and approvals to provide transportation services to third parties; and
      • own or have leased a personal vehicle which meets the requirements in clause 5.
    • VEHICLE REQUIREMENTS and classifications
      • requirements
        • By creating an Account and listing yourself as Available to Drive, you represent and warrant that the Vehicle you use to provide the Services:
          • Is listed on your Account;
          • is registered in your personal name or be registered in a business name where the Driver is named on the business’ insurance policy;
          • is registered in England and Wales;
          • is covered by compulsory third party personal injury insurance, including for commercial ridesharing purposes;
          • is covered by third party property or comprehensive insurance, including for commercial ridesharing purposes;
          • does not have any non-compliant aftermarket modifications; and
          • complies with the vehicle requirements published by the official transport authority as updated from time to time.
        • CLASSIFICATION
          • Frugal may classify Vehicles into one or more categories, including but not limited to:
            • Standard;
            • Estate/Executive;
            • MPV; and
            • Mercedes Vito, Volkswagen Transporter (or any equivalent category designated by Frugal).
          • Frugal may amend, add to, remove, or rename vehicle categories and the eligibility criteria for each category at any time by providing reasonable notice to Drivers.
          • A Driver may only bid on journeys that are available to the category in which their Vehicle is classified. Vehicles classified in a higher category may bid on journeys available to lower categories. Vehicles classified in a lower category must not bid on journeys reserved for higher categories.
          • Frugal has sole discretion to determine the category into which a Vehicle is placed. Frugal may require a Driver, upon reasonable notice, to provide photographs, registration documents, specifications, insurance details, or any other evidence reasonably required to verify a Vehicle’s classification or compliance with this clause 6.
          • Frugal may reclassify a Vehicle, reject a requested classification, or suspend a Vehicle or Drivers access to particular categories or to the Platform until the requested evidence has been provided and verified.
          • Driver may register more than one Vehicle on their Account, provided each Vehicle complies with this clause 6. The Driver may add or remove Vehicles from their Account at any time through the Platform and must designate one registered Vehicle as their primary Vehicle. The Driver is responsible for ensuring that the Vehicle used to provide any Services is correctly selected on the Platform and complies with all applicable requirements under these Terms.
        • RIDER REQUIREMENTS, SAFETY and no-shows
          • When a Driver accepts a Request to Ride from a Rider, Drivers must not allow any other persons to be present in their vehicle when they collect the Rider and for the duration of the trip, other than the Rider and the Rider’s authorised passengers.
          • The Rider must be present for the entire journey and will be responsible for the actions of any of their passengers.
          • Drivers may cancel a trip where it reasonably believes that a Rider or its passengers are in breach of clause 7(a) and no penalty will apply to the Driver for cancelling under this clause.
          • If a Rider fails to arrive for the scheduled pickup, the Driver may mark the Rider as a no-show after waiting 20 minutes from the scheduled pickup time. In such cases, the Rider will be charged the full fare for the trip, and the Driver will receive payment for the journey in the next scheduled payout.
          • Drivers must report any Riders using the functionality of the App if the Rider, or its passengers, are in breach of the Rider Terms.
        • FEES AND PAYMENT PROCESS
          • APP FEES
            • Using the App and listing yourself as Available to Drive is free.
            • We take a booking fee for connecting Riders and Drivers via the App (Booking Fee).
          • RIDE FARE
            • All Requests to Ride offered to you on the App will display the Ride Fare, including the Booking Fee and Commission payable to us.
            • On making a Ride Request, the Rider shall pay the Ride Fare and any Booking Fee and Commission to our Online Payment Provider who will hold the funds.
            • On completion of the Services, and subject to any right to refund that the Rider may be entitled to at law and under these terms and the Rider Terms, the Ride Fare shall be paid to you via the Online Payment Partner.
          • RATINGS

Following the completion of each Ride Fare, Riders may rate Drivers, and Drivers may rate Riders, using a five (5)-star rating system. Providing a rating is entirely voluntary, and either party may choose not to submit a rating without penalty. At this stage, the App supports star ratings only and does not permit the submission of written comments, reviews, or other textual feedback. Ratings may be used to monitor and maintain the quality, safety, and reliability of the Services, identify patterns of user conduct, and assess whether a Driver’s or Rider’s account complies with these Terms. Consistently low ratings or other rating-related concerns may result in warnings, temporary suspension, restrictions on access to certain features, or termination of an account, at Frugal’s sole discretion and in accordance with applicable law. Frugal reserves the right to review, analyse, and use aggregated and anonymised rating data for operational, quality assurance, fraud prevention, service improvement, and other legitimate business purposes.

  • ONLINE PAYMENT PROVIDER
    • We use a third party payment processor, (Stripe/Stripe Connect) to collect and make payments via the App (Online Payment Provider).
    • You:
      • appoint the Online Payment Partner as your limited collection agent solely for the purpose of accepting the Ride Fare from the Rider;
      • agree that payments made by Riders of the Ride Fare (excluding our Commission) to the Online Payment Partner (acting as your collection agent) will be considered the same as payments made directly to you; and
      • agree that all payments to your nominated bank accounts will be made weekly on every Monday via the Online Payment Partner, which may vary depending on your geographic location. The Online Payment Partner’s current terms of service are available here: stripe.com/legal
    • REFUNDS & CANCELLATIONS
      • Frugal will have no liability or obligation to you if a Rider cancels at any time after you have accepted the Services, and you will not be entitled to any compensation from Frugal, including any portion of the Commission.
      • The Commission is by default non-refundable. However, Frugal may, in its absolute discretion, issue refunds of such fees in certain circumstances.
      • If you wish to cancel a service before you have fulfilled the requirements of the Service the Rider requested, you must notify the Rider as soon as possible as a courtesy and also contact us using the App’s functionality, including providing details as to why you are cancelling. If Frugal decides to investigate your request, you must provide assistance and information to Frugal as reasonably requested.
    • RELATIONSHIP
      • Frugal provides the App as a tool for Riders and Drivers to connect for the purpose of the Drivers providing their Services to the Rider.
      • The Driver acts as an independent contractor providing their Services to the Riders in exchange for the Ride Fare.
      • Frugal collects a fee from the Ride Fare for providing the App and the payment processing services to the parties (Commission).
      • Nothing in this agreement constitutes or deems the Driver to be an employee or agent of Frugal.
      • Frugal shall not seek to or exercise any supervision, direction and/or control over the Driver in the manner or execution of the Services.
      • The Driver may appoint a substitute to perform the Services (Substitute) provided the Substitute complies with these terms. The Driver shall be responsible for the acts and omissions of the Substitute and shall indemnify Frugal for any breaches of these terms by the Substitute.
      • It is not intended for there to be any mutuality of obligations between the Driver and Frugal. Frugal is under no obligation to offer, nor does it guarantee that any Rider will submit, Ride Requests to the Driver. The Driver is not obliged to accept Ride Requests via the App.
      • The Driver provides the Services to the Rider. The Driver is solely responsible for declaring all income it derives from the Services, and for paying all tax in connection with such income. The Driver hereby agrees to indemnify Frugal and hold Frugal harmless in respect of all claims, costs, charges, liabilities, damages or expenses which Frugal incurs in respect of any failure of the Driver to declare its income and/or pay any taxes (including but not limited to any income tax or national insurance costs).
      • Where Frugal is required to withhold, deduct or pay any income tax or national insurance in respect of any amounts payable to the Driver under these terms or in connection with the Services, the Driver hereby:
        • Authorises Frugal and its Online Payment Partner to deduct such amounts from any portion of the Ride Fare payable to the Driver; and/or
        • Indemnifies Frugal in respect of such amounts and agrees to pay such amounts to Frugal upon demand.
      • BYPASSING AND USER DATA
        • You agree that while you are a Driver on the App, you will not, either directly or indirectly, solicit or attempt to solicit any business, work, income or other benefit, from any Rider whom you came to know about, or with whom you provided services to directly or indirectly, by using the App. This provision will apply whether or not the Rider or their representative is still active on the App.
        • All personal data of the Rider is confidential and you must keep any shared or made available to you as confidential (Rider Personal Data).
        • Frugal, in its absolute discretion, may cancel your Account and suspend you from using the App if it finds or suspects that you have breached or are in breach of this clause 11.
      • BINDING CONTRACT
        • You agree that when a Rider submits a Request to Ride, this constitutes their intention and offer to enter into a contract with you, where you will provide the Rider with the service in the Available to Drive they responded to in exchange for payment of the Ride Fare. A contract is formed in this respect when you respond to a Request to Ride with an email or message on the App confirming that you accept the Rider’s offer.
      • WARRANTIES
        • By listing yourself as a Driver on the App and posting as Available to Drive, you represent and warrant that:
        • you are generally able to fulfil the requirements of the services;
        • you will provide the Services:
        • using suitably qualified and trained personnel exercising due care and skill in a professional, efficient, diligent and safe manner, and to the best industry standards; and
        • in compliance with all applicable laws;
        • you understand that Frugal does not hold insurance in respect of any services you may provide to a Rider, including any compulsory third party insurance or public liability insurance, and that it is your responsibility to obtain and hold any such insurances; and
        • any individuals or companies involved in performing the relevant services have not been previously convicted of a felony, and there are no current legal, criminal, civil or administrative proceedings against such individuals or companies.
      • These Terms
        • These terms are an agreement made between us you and us and:
          • Apple is not a party to this agreement and has no responsibility for the app or its content; and
          • Google is not a party to this agreement and has no liability under it.
        • We license you to download and use the App:
          • For iOS users, onto any Apple-branded product, and to use it once you have downloaded it, provided you follow all of the rules described in this agreement and the App Store Rules
          • For Google Play Store users, to use the App provided you follow all of the rules described in this agreement and also Google’s rules.
        • The licence:
          • is only for you personally (and anyone else that the Apple or Google (as applicable) and for non-business use;
          • starts when you download the App; and
          • covers content, materials, or services accessible from, or bought in, the App including all of our support resources. It also covers updates to the App unless they come with separate terms, in which case we will give you an opportunity to review and accept
        • The App can be accessed, used and downloaded by other accounts that are associated with you through family sharing or volume purchasing in accordance with the App Store or Google’s Rules (as applicable).
        • You must comply with the App Store Rules and Google’s Rules (as applicable) as well as these terms but, if there is any conflict between them, you should follow the App Store Rules or Google’s Rules rather than the equivalent rule here.
        • You do not own the App or any of its contents but you may use it on devices that you own or control, as permitted by these terms and by the App Store Rules or Google’s Rules (as applicable).
        • If you sell or give away the device on which you have downloaded the App, you must first remove the App from the device.
        • You are not allowed to:
          • modify the App’s code in any way, including inserting new code, either directly or through the use of another app or piece of software;
          • deliberately attempt to avoid or manipulate any security features included in the App; or
          • pretend that the App is your own or make it available for others to download or use (including by way of copying the code of the App and creating an independent version).
        • Support and contact
          • We are responsible for customer service in relation to the App and can help you if you are having any issues.
          • For iOS users, you acknowledge that Apple has no obligation whatsoever to provide any support or maintenance services in relation to the App, although if the App is faulty, you may be able to claim a refund for paid content or services.
          • For Google users, you acknowledge that Google has no obligation to provide any support or maintenance services in relation to the App. Refunds may be available to you in a range of circumstances, either from Google or from us. See Google’s refund policies for more information.
          • If you need to get in touch with us, you can use the ‘contact us’ functionality provided in the App.
          • If we need to get in touch with you, we will do so by email or an in-app notification.
        • DISPUTES BETWEEN USERS
          • You should direct any complaint relating to a Rider to that Rider. You must take all reasonable steps to resolve any dispute with another user of the App (e.g. Riders or other Drivers) (User).
          • If any issue or problem relating to the Ap4p or the Services remains unresolved after raising it with the relevant User, or if the issue does not relate to another User, you must report it to Frugal via the contact form available on the App, through our website, or by email to the contact details provided by Frugal. Frugal will assess the matter and use reasonable efforts to resolve it promptly and fairly.
          • Any costs you incur in relation to a complaint or dispute will be your responsibility.
          • Frugal has the option to appoint an independent mediator or arbitrator if needed. The cost of any mediator or arbitrator must be shared equally between the Users that are party to the dispute.
          • Frugal reserves the right to hold funds in relation to a dispute until the dispute is resolved by the relevant parties or by a mediator or arbitrator.
          • If you have a dispute with Frugal, you agree to notify us first and enter into discussion, mediation or arbitration with us for a minimum of a 120-day period before pursuing any other proceedings.
          • Notwithstanding any other provision of this clause 16, you or Frugal may at any time cancel your Account or discontinue your use of the App.
        • Privacy and your personal information
          • Protecting your personal information is important to us. Our Privacy Policy, which is available at [Insert link to the privacy policy on your website], explains what personal information we collect from you, how and why we collect, store, use and share such information, your rights in relation to it and how to contact us and supervisory authorities if you have a query or complaint.
        • Collection of technical information
          • We may collect and use technical data that might include, for example, the specifications of your device and its software in order to help us provide software updates, product support, and other services related to the App. We may also use this information, as long as it is in a form that does not personally identify you, to improve products or to offer new services or technologies to you.
        • Location data
          • The App makes use of functionalities on your device that can pinpoint your location. We do this in order to connect you with nearby Riders and to calculate the Ride Fare.
          • When you open the App for the first time, you will be asked whether the App can use your location and in what circumstances.
          • If you refused to authorise the location services the first time you opened the App, but change your mind later on, you can still update your choices at any time in the App settings. Conversely, you can also turn the location services off at any time, but please note that if you do choose to do so, you may not be able to use the App.
          • All location data is processed pursuant to our Privacy Policy (see above clause 17).
        • Ownership, Use and Intellectual Property Rights
          • The intellectual property rights in the App and in any text, images, video, audio or other multimedia content, software or other information or material submitted to or accessible from the App (the ‘Content’) are owned by us and our licensors.
          • We and our licensors reserve all our intellectual property rights (including, but not limited to, all copyright, patents, trademarks, service marks, domain names, design rights, database rights, patents and all other intellectual property rights of any kind) whether registered or unregistered anywhere in the world. This means, for example, that we remain owners or licensors of them and are free to use them as we see fit.
          • Nothing in these terms grant you any legal rights in the App or the Content other than as necessary for you to access it and use it. You agree not to adjust, try to circumvent or delete any notices contained in the App or the Content (including any intellectual property notices) and in particular, in any digital rights or other security technology embedded or contained within the Site or the Content.
          • Trademarks: “Frugal” and the associated logos within our app are the unregistered trademarks of Frugal. Other trademarks and trade names may also be used on the App or in the Content. Use by you of any trade marks on the App or in the Content is strictly prohibited unless you have our prior written permission.
        • Acceptable use
          • You must not use the App to do any of the following things:
            • break the law or encourage any unlawful activity;
            • send or upload anything that is (or might be considered to be) defamatory, offensive, obscene, containing or representing sexually explicit images and/or discriminatory (including but not limited to, in relation to race, gender, religious beliefs, sexual orientation or disability);
            • infringe our or anyone else’s intellectual property rights (for example, by using or uploading someone else’s content);
            • transmit any harmful software code such as viruses;
            • try to gain unauthorised access to computers, data, systems, accounts or networks; or
            • deliberately disrupt the operation of anyone’s website, mobile application, server or business.
          • We reserve the right to delete any Content which is not compliant with present clause 21.
          • While we use all commercially reasonable efforts to make sure that the App is secure and accurate, we do not actively monitor or check at all times whether information supplied to us through the App is factual, exact, confidential, commercially sensitive or valuable.
          • Other than any personal information which will be dealt with in accordance with our Privacy Policy, we do not guarantee that information supplied to us through the App will be kept confidential and we may use it on an unrestricted and free-of-charge basis as we reasonably see fit.
        • Updates to the App
          • We may update the App from time to time for reasons that include fixing bugs or enhancing functionality. We might also change or remove functionality but if we do that, we will ensure that the App still meets the description of it that was provided to you at the time you downloaded the App.
          • Updates will either download automatically or you may need to trigger them yourself, depending on your device, its settings and the app store.
          • We strongly suggest that you download all updates as soon as they become available. Depending on the nature of the update, the App may not work properly (or at all), or you may be exposed to security vulnerabilities, if you do not keep the App updated to the latest version that we make available.
        • Changes to these terms
          • We may need to revise these terms from time to time to reflect changes in the App’s functionality, to deal with a security threat or if there is a change in the law or guidance.
          • You will be asked to agree to any material changes in advance by an in-app notification , usually when you download an update. If you do not accept the changes, you will not be able to use the App. Google users may be able to request a refund in these circumstances.
        • External services
          • The App may enable you to access services and websites that we do not own or operate (referred to below as ‘external services’).
          • We are not responsible for examining or evaluating the content or accuracy of these external services. Before using them, make sure you have read and agreed to the terms on which they are being offered to you including the way in which they may use your personal information.
          • You must not use external services in any way that:
            • is inconsistent with these terms or with the terms of the external service; or
            • infringes our intellectual property rights, or the intellectual property rights of any third party.
          • From time to time, we may change or remove the external services that are made available through the App.
        • Liability
          • Nothing in these terms shall exclude or limit our liability for death or personal injury caused by our negligence or willful misconduct, liability for fraud or fraudulent misrepresentation, or any other liability which cannot be excluded or limited under the laws of England and Wales.
          • Subject to clause 25(a), we shall bear no liability of any kind whatsoever for (but not limited to) any direct or indirect/consequential, foreseeable or unforeseeable, losses, costs, damages, fees, expenses, any inaccuracy or misleading information, any loss of profit, revenue, suffered by you or any third-party, relating to, in connection with, or arising from, this agreement, our products and services and/or the App.
          • In any case, subject to clause 25(a) and to the extent permitted under applicable law, Frugal’s total aggregate liability arising from or in connection with this agreement, the Frugal’s and/or the App (whether the liability arises because of breach of contract, tort or for any other reason) shall be limited to no more than fifty pounds sterling (£50).
          • If the App fails to meet the standards required by law (including that the App is of satisfactory quality, fit for purpose and as described), please contact Apple who will provide you with a full refund of the price you paid for the App, in the event that the App was not made available for free. Apple has no other responsibility or obligation in relation to the App beyond providing a refund in the circumstances described in the present clause 25(d).
        • Failures of networks or hardware
          • The App relies on a number of things working properly to enable you to enjoy all of its features. Many of these, such as your internet connection, your device and the App Store or Google Play (as applicable), are entirely outside of our control. Although we will do everything we reasonably can to resolve issues, we are not responsible to you if you are unable to use all or any part of the App due to a poor internet connection, faulty components in your device (such as a faulty GPS signal, failing in the API with any suppliers of our Content or related features), App Store failure or failure of Google Play to function properly (as applicable) or anything else that it would not be reasonable to expect us to control.
        • Ending these terms
          • We can end these terms and our agreement with you, if you do not comply with any part of them
          • We will give you a reasonable amount of notice before the terms and our agreement with you ends but if what you have done is serious then we may end our agreement with you immediately and without advance notice to you. ‘Serious’ means that you are causing harm (or attempting to cause harm) to other users, interfering with the operation of the App or doing anything else that we think presents a big enough risk to justify us ending our agreement with you quickly.
          • The consequences of our agreement with you ending are as follows:
            • you are no longer allowed to use the App and we may remotely limit your access to it;
            • you must delete it from any devices that it has been installed on;
            • we may delete or suspend access to any accounts that you hold with us; and
            • you are not entitled to a refund to the extent you paid for the App of any of its features.
          • Third parties
            • No one other than us or you has any right to enforce of these terms, except that in the case of iOS users:
              • Apple and Apple’s subsidiary companies are third party beneficiaries of these terms and to this agreement. This means that if you breach any of these terms, Apple has the right to enforce it and to take action against you directly, with or without our involvement.
            • Transferring these terms
              • We may transfer our rights under these terms to another business without your consent, but we will notify you of the transfer and make sure that you are not adversely affected as a result.
              • You are not allowed to transfer your rights under these terms to anyone without our prior written consent.
            • Governing law and jurisdiction
              • The laws of England and Wales apply to this agreement, although if you are resident elsewhere acting in a non-professional capacity, you will retain the benefit of any mandatory protections given to you by the laws of the country in which you live.
              • Any disputes will be subject to the non-exclusive jurisdiction of the English courts. This means that you can choose whether to bring a claim in the courts of England or in the courts of another part of the UK in which you live.
